MEMORANDUM OF UNDERSTANDING (MOU)

1. Purpose

This MOU establishes a premium partnership where Feork provides exclusive benefits to [Client Company] in exchange for a minimum annual spend of $10,000 on freelance hiring through the Feork platform.

2. Exclusive Benefits

For 365 days from signing, Feork will provide:

• 10% discount on all freelance hires.
• 0% marketplace fee (no commission on transactions).
• Freelancer Match Guarantee:
• If [Client Company] chooses a freelancer outside Feork, Feork will attempt to onboard the same or a similar freelancer to its platform within 7 days.
• For new skill requests, Feork will source a qualified freelancer within 7 days.
• Feork will provide a coupon code to get a 10% discount for 365 days.
• Premium Support: Dedicated support manager and priority resolution for issues.

3. Client Obligations

• Minimum Spend: $10,000 within 365 days.
• Exclusivity: Must notify Feork of any external freelance hires to trigger the Match Guarantee.

4. Term & Termination

• Duration: 365 days from signing.
• Early Termination:
• If [Client Company] fails to meet the $10,000 spend, Feork may revoke benefits.
• The client needs to spend $5K within 183 days and the next $5K within the next 182 days.

6. Governing Law

This Memorandum of Understanding (MOU) represents a statement of mutual intent and is not a legally binding contract.
